Terms of Service

1. Acceptance & Eligibility

By installing, accessing, or using the Halo Chrome extension or any website operated by ScarCity Labs including scarcitylabs.io (collectively, the "Service"), you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and our Risk Disclosure, each of which are incorporated herein by reference.

These Terms form a binding legal contract between you and ScarCity Labs ("Halo," "we," "us," or "our"). If you are acting on behalf of a business or other legal entity, you represent and warrant that you have authority to bind that entity.

Eligibility Requirements

To use the Service you must: (a) be at least 18 years of age; (b) have the legal capacity to enter contracts in your jurisdiction; (c) not be prohibited from using the Service under applicable law; (d) not be located in a jurisdiction where cryptocurrency derivatives trading is prohibited; and (e) not be subject to sanctions by any governmental authority.

By using the Service you represent and warrant that you meet all eligibility requirements. If you do not meet them, you must not use the Service.

2. Description of Service

Halo is a Chrome browser extension that injects a toolbar into app.hyperliquid.xyz, a third-party decentralized perpetual futures exchange operated by Hyperliquid. The Service provides supplementary AI-powered tools including:

• TrendAI — Fetches live candlestick data from Hyperliquid and uses AI to generate chart analysis and identify potential price levels.
• Pulse — Provides AI-generated news briefings and displays prediction market odds from Polymarket.
• Alerts — Allows users to set manual and AI-suggested price alerts.
• Learn — An AI-powered educational chatbot explaining trading concepts.
• Funding Rates — Displays live funding rate data for Hyperliquid perpetual pairs. Informational only — not a trading signal or recommendation.
• Liq Map (Liquidation Heatmap) — Shows estimated liquidation price clusters based on open interest and common leverage levels. These are approximations only and do not reflect actual individual trader liquidation prices.
• Portfolio PnL — Fetches your Hyperliquid account stats using your wallet address directly from Hyperliquid's public API. Not financial reporting or accounting advice.
• HL News — Displays new Hyperliquid listings, top volume movers, and market data from Hyperliquid's public API.
• Trade Export — Fetches your Hyperliquid trade history and generates a downloadable CSV file. This is not tax advice. You are solely responsible for your own tax reporting.
• Builder Fee Mechanism — Attaches Halo's registered Hyperliquid builder address to trade orders, enabling a 0.055% fee to be collected. Community addon creators confirm their own EVM wallet address to receive tips from users — no Hyperliquid builder registration is required from creators.

The Service does not execute trades, hold user funds, provide custody of assets, or operate as a financial institution. Halo is a software tool only.

3. Not Financial Advice

The Service is provided for informational and educational purposes only. All content is general in nature and does not account for your individual financial situation, objectives, risk tolerance, experience, or investment horizon.

You acknowledge and agree that:

• Halo is not a licensed financial advisor, investment advisor, broker-dealer, commodity trading advisor, or financial planner in any jurisdiction.
• No content from the Service should be relied upon as the basis for any financial or investment decision.
• You are solely responsible for conducting your own due diligence and for all trading decisions.
• You should consult a qualified, licensed financial professional before making trading or investment decisions.
• Past market performance illustrated by any analysis tool is not indicative of future results.

4. No Regulatory Status

ScarCity Labs is not registered, licensed, or supervised by any financial regulatory authority, including but not limited to the U.S. Securities and Exchange Commission (SEC), the U.S. Commodity Futures Trading Commission (CFTC), the Financial Industry Regulatory Authority (FINRA), the Financial Conduct Authority (FCA), or any equivalent body in any jurisdiction.

The Service does not constitute a securities offering, a commodities offering, or a money transmission service. Nothing in the Service is intended to comply with or constitute compliance with securities laws, commodities laws, or any other financial regulation in any jurisdiction.

Cryptocurrency perpetual futures may be classified as securities, commodities, or derivatives in certain jurisdictions. It is your sole responsibility to determine the legal status of your trading activities under applicable law and to comply with all applicable laws and regulations.

5. Assumption of Trading Risk

By using the Service, you expressly acknowledge, understand, and accept the following risks:

Trading Risks

• Cryptocurrency markets are highly volatile, operate 24/7, and can move dramatically in short periods.
• Leveraged perpetual futures trading can result in losses exceeding your initial margin deposit.
• Forced liquidations can occur rapidly and without warning, resulting in total loss of your margin.
• Funding rate payments can erode positions over time.
• Slippage, spread, and fees can significantly impact profitability.

Technology Risks

• The Service may malfunction, produce incorrect outputs, or become unavailable at any time.
• AI analysis may be inaccurate, misleading, or based on stale data.
• Internet connectivity issues, browser compatibility problems, or Chrome extension conflicts may impair functionality.
• The extension modifies trade requests programmatically — software bugs could theoretically affect order parameters.

Your Responsibilities

• You are solely and entirely responsible for all trading decisions made using or influenced by the Service.
• You are solely responsible for verifying the accuracy of all information displayed by the Service before acting on it.
• You are solely responsible for monitoring your positions, margin levels, and liquidation prices.
• Halo has no responsibility for any losses, liquidations, missed opportunities, or other financial harm arising from your use of the Service.

7. AI-Generated Content

The Service uses large language models operated by Anthropic, Inc. ("AI Services") to generate analysis, commentary, educational content, and other outputs. You acknowledge and agree that:

• AI-generated outputs are probabilistic and may contain errors, hallucinations, inaccuracies, outdated information, biases, or content that is factually incorrect.
• AI chart analysis identifies patterns statistically — it does not predict the future and is frequently wrong.
• AI outputs do not constitute research, analysis, or recommendations within the meaning of any financial regulation.
• Halo does not review, verify, endorse, or guarantee the accuracy of any AI-generated output before it is displayed to you.
• Reliance on AI-generated content for trading decisions is done entirely at your own risk.
• The accuracy, availability, and capability of AI Services may change without notice.
• Your use of AI Services through your own Anthropic API key is separately governed by Anthropic's Terms of Service and Usage Policy.

8. Builder Fees

By executing trades on Hyperliquid while the Halo extension is active, you consent to a 0.055% builder fee being appended to your trade orders and collected by Hyperliquid on behalf of Halo's registered builder address.

• The fee is in addition to Hyperliquid's standard trading fees.
• All collected fees are on-chain transactions and are non-refundable.
• For addon creators: tipped addons carry a 5% platform fee (creator keeps 95%); paid addons carry a 10% platform fee (creator keeps 90%). NFT tier discounts (based on holding any of 10+ verified HyperEVM collections) apply to Halo's 0.055% builder fee only.
• Halo makes no representations about the future value, utility, or existence of any tokens, including $HYPE, that may be involved in fee distribution.
• Fee rates are subject to change. Current rates are posted at scarcitylabs.io.
• If you do not wish to pay the builder fee, you must uninstall the extension before trading.
• Halo is not responsible for any additional fees charged by Hyperliquid or other third parties.

9. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable law, regulation, treaty, or ordinance.
• Engage in market manipulation, wash trading, spoofing, or any form of deceptive trading practice.
• Circumvent, disable, or interfere with security features of the Service or any connected platform.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
• Distribute, sublicense, sell, or transfer access to the Service to any third party.
• Use automated bots, scrapers, or scripts to interact with the Service in ways not intended.
• Impersonate ScarCity Labs, its employees, or any other person or entity.
• Use the Service to trade while located in a jurisdiction where such activity is illegal.
• Use the Service if you are subject to economic sanctions or on any government prohibited-persons list.
• Build a competing product using knowledge, code, or designs derived from the Service.
• Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure or connected services.

Violation of these prohibitions may result in immediate termination of your access and may expose you to legal liability.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless ScarCity Labs and all Scarcity Parties (as defined in Section 10) from and against any and all claims, demands, actions, liabilities, damages, losses, judgments, penalties, fines, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

• Your use of or access to the Service;
• Your violation of these Terms or any applicable law or regulation;
• Your trading activity, investment decisions, or financial losses;
• Your violation of any third party's rights, including intellectual property rights, privacy rights, or contractual rights;
• Any content or information you submit, transmit, or make available through the Service;
• Any dispute between you and any third party, including Hyperliquid, Anthropic, or Polymarket;
• Any claim that your use of the Service caused damage to a third party;
• Your misrepresentation of any information to Halo or to third parties.

Halo reserves the right, at its own cost, to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with such defense.

12. Blockchain & Smart Contract Risks

The Service interacts with blockchain networks, decentralized protocols, and smart contracts. You acknowledge the following specific risks:

• Irreversibility: Blockchain transactions are generally irreversible. Erroneous, unintended, or fraudulent transactions cannot be undone by Halo.
• Network congestion: High traffic on blockchain networks may delay transaction execution or cause transactions to fail.
• Protocol risk: Hyperliquid and other third-party protocols may have bugs, exploits, or vulnerabilities that result in loss of funds. Halo has no control over and no liability for third-party protocol risks.
• Regulatory risk: Governments may enact laws or regulations that restrict, ban, or alter the status of cryptocurrency trading. Halo is not responsible for regulatory changes that affect your ability to trade.
• Key and wallet security: Halo does not store or have access to your private keys or wallet credentials. Loss of access to your wallet is irreversible and not recoverable by Halo.
• Token value: Halo makes no representations about the value, utility, or future existence of any cryptocurrency, including $HYPE. Token values can go to zero.

13. Geographic Restrictions

The Service is not available to persons located in, or residents of, jurisdictions where cryptocurrency derivatives trading or the provision of related services is prohibited or requires a license that Halo does not hold. This includes, without limitation, certain jurisdictions where regulatory authorities have issued guidance restricting such activity.

It is your responsibility to determine whether use of the Service is lawful in your jurisdiction. Halo makes no representation that the Service is appropriate or available for use in all locations. By using the Service, you represent that your use is lawful in your jurisdiction.

Halo reserves the right to restrict access to the Service from any jurisdiction at any time at its sole discretion.

14. Third-Party Services

The Service connects to third-party platforms including Hyperliquid (api.hyperliquid.xyz), Anthropic (api.anthropic.com), and Polymarket (gamma-api.polymarket.com). Halo is not affiliated with, endorsed by, or responsible for any third-party platform. You acknowledge that:

• Your use of third-party platforms is governed solely by their respective terms of service and privacy policies.
• Halo has no control over, and assumes no responsibility for, the availability, accuracy, security, or conduct of any third-party service.
• Third-party services may be unavailable, change their APIs, restrict access, or cease to operate without notice, causing the Service to malfunction or become unavailable.
• Halo is not liable for any loss or damage caused by third-party service failures, changes, security incidents, or decisions.
• Links or references to third-party services do not constitute endorsement by Halo.

15. Intellectual Property

All content, software, design, text, graphics, logos, interfaces, and other materials comprising the Service are the proprietary property of ScarCity Labs or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Subject to these Terms, Halo grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the extension solely for your own personal, non-commercial trading purposes on your own devices.

You may not: (a) copy, reproduce, distribute, publish, or create derivative works based on the Service; (b) reverse engineer, decompile, disassemble, or attempt to discover source code; (c) use the Service to develop a competing product; (d) remove, alter, or obscure any proprietary notices; (e) use Halo's name, logo, or trademarks without prior written consent.

All rights not expressly granted are reserved by ScarCity Labs.

16. Termination

Halo may suspend or terminate your access to the Service immediately and without notice or liability for any reason, including if we believe you have violated these Terms, applicable law, or the rights of any third party.

You may terminate your use at any time by uninstalling the extension. All locally stored data will be removed upon uninstallation.

Upon termination, your license to use the Service ends immediately. Sections 3, 4, 5, 6, 7, 10, 11, 17, 18, and 20 survive termination indefinitely.

17. Dispute Resolution & Arbitration

Informal Resolution

Before initiating arbitration, you must contact Halo in writing and attempt good-faith resolution. Most concerns can be resolved quickly this way. We have 30 days to respond.

Binding Arbitration

If informal resolution fails, all disputes, claims, or controversies arising from or relating to these Terms, the Service, or the relationship between you and Halo — including disputes about the validity, enforceability, or scope of this arbitration clause — shall be resolved by binding arbitration on an individual basis, rather than in court.

Arbitration shall be conducted under the rules of a recognized arbitration body, on a confidential basis. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND SCARCITY EACH WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE OR CONSOLIDATED PROCEEDING. YOU MAY ONLY BRING CLAIMS ON AN INDIVIDUAL BASIS.

Jury Trial Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND SCARCITY EACH WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS.

Small Claims Exception

Either party may bring an individual claim in small claims court if it qualifies under that court's rules, provided the matter remains in small claims court and is not removed or appealed to a court of general jurisdiction.

Opt-Out Right

You may opt out of the arbitration and class action waiver provisions by sending written notice to Halo within 30 days of first using the Service. Opting out does not affect any other provision of these Terms.

18. Governing Law & Venue

These Terms and all disputes arising from them are governed by applicable law, without regard to conflict of law principles. To the extent court proceedings are permitted, you irrevocably submit to the exclusive jurisdiction of courts of competent jurisdiction.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

19. Force Majeure

Halo shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions, wars, terrorism, civil unrest, labor disputes, Internet outages, blockchain network failures, third-party service outages, cyberattacks, power failures, or changes in law or regulation. In such events, Halo's obligations are suspended for the duration of the force majeure event.

20. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and Risk Disclosure, constitute the entire agreement between you and Halo regarding the Service and supersede all prior agreements, understandings, and communications.

Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions remain in full force and effect.

Waiver

Halo's failure to enforce any right or provision does not constitute a waiver of that right or provision. No waiver is effective unless in writing signed by Halo.

Assignment

You may not assign or transfer these Terms or any rights hereunder without Halo's prior written consent. Halo may freely assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

Notices

Halo may provide notices by posting to scarcitylabs.io. You are responsible for keeping informed of changes.

Changes to Terms

Halo reserves the right to modify these Terms at any time by posting revised Terms at scarcitylabs.io/terms. Material changes will be indicated by updating the version number and effective date. Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.

Export Compliance

You agree to comply with all applicable export laws and regulations. You represent that you are not located in a sanctioned country and are not on any government denied-persons list.
